Terms and Conditions

The contract between us and the companies using WafersHub solutions or architecture. Mandatory B2B document.

Please note: These standard terms and conditions serve as a baseline. The final governing terms, including IP rights, deliverables, and service level agreements (SLAs), will be determined exclusively by the custom B2B contract and NDA signed between WafersHub and your organization.

1. Nature of WafersHub Services

WafersHub ("we", "the company") provides software architecture, proprietary SaaS platforms (Ecosystem), and custom development for the B2B (Business-to-Business) sector. These Terms and Conditions establish the legal relationship regarding the use of our online platform and interaction with the ecosystem.

2. License and Intellectual Property (IP)

For custom development (excluding our internal SaaS), the delivered source code and infrastructure can enter the client's ownership (IP Transfer) upon completion and full payment of the project. However, WafersHub retains ownership rights over internal libraries (design system, middlewares), with the client having a perpetual license for their use.

3. Limited Liability (SLA)

For SaaS products (Wafers Dental, HR, Comms), we commit to a standard SLA of 99.9% uptime. However, WafersHub assumes no responsibility for interruptions caused by external factors (Force Majeure, third-party cloud providers like AWS/Vercel) affecting service availability. In no event is the company liable for indirect loss of profit.

4. Project Confidentiality (NDA)

We consider all custom project data under an implicit NDA (Non-Disclosure Agreement) from the moment of first contact. We do not publish case studies or client logos on our website without the written consent of the client's founders/board.

5. Termination

We reserve the right to terminate collaboration in case of severe security breaches, unauthorized reverse engineering attempts, or failure to pay B2B recurring invoices beyond the 30-day net term.

This document is indicative for online presence. Final contracts will contain customized SLAs and commercial conditions agreed upon between parties.
